Terms of Service

1. Who we are

HSLnFlow is a business development, sourcing, and supply business operating in Ghana. In these terms, "HSLnFlow", "we", and "us" mean HSLnFlow, and "you" or "the client" means the business that engages us. You can reach us at info@hslnflow.com or +233 24 925 6381.

2. Our services

We provide outsourced business development, sourcing, and supply services for micro, small, and medium businesses:

• Business development — opportunity and tender sourcing, partnership and distributor facilitation, and negotiation and closing support.
• Sourcing and supply — wholesale and retail supply of goods, import and export facilitation, and distribution and delivery coordination.

The exact scope for your engagement is set out in a written proposal, statement of work, or invoice, which forms part of these terms.

3. Supply of goods

Where an engagement includes the supply of goods, we quote the goods, quantity, price, and delivery point in writing, and you confirm the order before we place it. We invoice you for the goods. Risk in the goods passes to you on delivery to the agreed point. Title passes once we have received payment in full. You should inspect goods on delivery and tell us of any shortage or damage within 3 days. Goods correctly supplied to an agreed specification are not returnable unless the supplier's terms allow it.

4. Engagement and scope

Work begins once you accept a written scope and, where applicable, pay the agreed fee or deposit. Anything outside the agreed scope is quoted separately before we carry it out. Either party may end an engagement with 14 days' written notice; fees for work already done or committed remain payable.

5. Fees and payment

• Fees and prices are quoted in Ghana Cedis (GHS) and stated in your proposal, quote, or invoice. They may take the form of a consultation fee, a monthly retainer, a facilitation or success fee, and/or the price of goods we supply.
• Payment is made by card or bank transfer against an invoice we issue. Invoices are due within 7 days unless stated otherwise.
• For supply orders, we may require payment or a deposit in advance before we place the order with a supplier.
• Late payment may pause work and, where agreed, attract interest at 1.5% per month.

6. Refunds and cancellations

• Consultation fees are refundable in full if you cancel at least 24 hours before the session, and non-refundable after that.
• Retainers are billed monthly in advance. If you cancel mid-month, we do not refund the current month but will not bill the next.
• Facilitation and success fees are earned when the related deal is signed and are non-refundable.
• Goods supplied to an agreed specification are non-returnable and non-refundable once the order is placed with the supplier, except where the goods are faulty or not as described, or where the supplier's own returns terms allow it. Report any issue within 3 days of delivery.

7. Your responsibilities

You agree to give accurate information about your business, respond to requests in reasonable time, honour introductions and opportunities we make in good faith, and not bypass HSLnFlow to avoid an agreed facilitation fee on a deal we originated.

8. Our role and limits

For business development, we facilitate opportunities and partnerships; we do not guarantee that a specific deal will close or a particular financial result, and we are not a party to the contracts you sign with third parties. For goods we supply, we are responsible for supplying goods that match the agreed specification, but we do not manufacture goods and we pass on, and do not extend, a manufacturer's or supplier's warranty. Nothing here is legal, tax, or investment advice.

9. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the engagement.

10. Liability

To the extent permitted by law, our total liability for any claim connected to an engagement is limited to the fees or price you paid us for that engagement or order in the 3 months before the claim. We are not liable for indirect or consequential loss.

11. Governing law

These terms are governed by the laws of the Republic of Ghana, and disputes are subject to the courts of Ghana.
